Terms of Service

1. Acceptance of Terms

By accessing and using Synthcore ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. Additionally, when using Synthcore's services, you agree to comply with any posted guidelines or rules that may be present.

2. Description of Service

Synthcore provides a managed platform for deploying and managing autonomous AI development agents. The Service includes access to AI-powered tools for software development, including code generation, testing, and deployment assistance.

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information
  • Promptly update any changes to your information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in any activity that could harm, disable, or impair the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Distribute malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service

5. Intellectual Property

The Service, including all content, features, and functionality, is owned by Synthcore and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain ownership of any code, data, and content you provide to the Service. By using the Service, you grant us a limited license to use your content solely to provide and improve the Service.

6. Payment and Billing

Some features of the Service require payment of fees. All fees are exclusive of applicable taxes. You agree to pay all fees in accordance with the pricing terms displayed at the time of purchase.

Subscriptions will automatically renew unless cancelled at least 24 hours before the end of the current billing period. Refunds are provided at our sole discretion.

7. Third-Party Services and APIs

The Service may integrate with third-party services, including but not limited to AI model providers (such as Anthropic, OpenAI) and code hosting platforms (such as GitHub). You acknowledge that:

  • Your use of third-party services is governed by their respective terms and privacy policies
  • You are responsible for complying with third-party terms of service
  • We are not responsible for third-party services or their data practices

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Synthcore and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your content or code submitted to the Service

11. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, upon written notice. Upon termination, your right to use the Service immediately ceases.

You may cancel your subscription at any time through your account settings. No refunds will be provided for partial billing periods unless required by law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
